Proposed Amendment to Sports ETA Bylaws

According to our association's bylaws, specifically outlined in Article XV, amendments to the Bylaws of the Association are eligible for discussion solely during an Annual Meeting or during any regular or special meeting convened by the Board of Directors.

A proposed bylaw change and motion have been submitted in accordance with our bylaw rules by Mike Price, Chief Sales and Operations Officer of Destination Ann Arbor/Ann Arbor Sports Commission. A second to the motion has been submitted by Don Dukemineer, Director of Sports Development at Decatur Morgan County Tourism. The proposed amendment is explained in the document below.

According to our Bylaws, a notice of proposed bylaw amendments must be communicated to members at least sixty (60) days prior to the vote of the membership. In line with this requirement, the vote on the proposed amendment will take place during a special meeting called by the Board of Directors, which is scheduled for 2:00 PM Eastern Time, Wednesday, December 13, 2023.

In addition, our Bylaws mandate that no less than ten (10) days prior to the vote by the Membership, the Board of Directors must host a town hall meeting by phone or other electronic means open to the Membership. During this town hall meeting, members will have the opportunity to provide comments and ask questions regarding the proposed bylaw amendment. Reminder, the town hall meeting will be held at 2:00 PM Eastern Time, Wednesday, November 29, 2023.

Finally, it is important to note that any proposed amendments to the Bylaws shall require an affirmative vote by two-thirds (2/3rds) of the Members present and eligible to vote during the special meeting. The eligible voter for your organization is the individual listed as the primary contact on your membership account. If you need to change your primary contact at anytime, please contact member services at info@sportseta.org.
